What is Elysium Ventures Fund 1?
Elysium Venture Fund 1 (VF1) is a founder-led, early-stage venture fund and holdings company that invests in high-potential consumer and technology startups with a focus on profitability and intelligent growth. Alongside our 506c fund, we are one of the only platforms allowing a broader range of qualified investors to participate in venture-backed growth opportunities through a diversified, professionally managed portfolio.
Who can invest in Elysium Fund 1?
Elysium is open to accredited investors under SEC Regulation D 506(b)/(c) and Regulation CF / Regulation A+ offerings to allow non-accredited investors to participate.

What is the minimum investment in Elysium Fund I?
Currently, the minimum investment for qualified investors is $10,000 USD. However, we periodically offer lower minimums during private reservations or through qualified Reg CF rounds, with minimum as low as $499.99 USD
Is Elysium a blind pool fund or a portfolio you can see?
Elysium Fund I is not a blind pool. Investors are introduced to our anchor portfolio companies and given transparency into:

This visibility helps investors make informed decisions and increases confidence in fund performance.
How long is the investment horizon?
Elysium Fund I targets a 4–7 year investment horizon. However, liquidity events—such as M&A, secondaries, or strategic buyouts—may occur earlier for select assets. We actively manage toward meaningful liquidity for our investors while prioritizing value-maximizing exits.
Can I invest through my IRA, Trust, or LLC?
Yes. Elysium accepts investments from self-directed IRAs, trusts, corporate entities, and multi-member LLCs, provided proper documentation is submitted during onboarding.

Does Elysium control the companies it invests in?
In most cases, yes. Elysium and its affiliated entities typically hold majority or significant ownership positions in portfolio companies, allowing for active involvement in strategy, execution, and long-term value creation.
Is the Elysium team involved in building the underlying companies?
Yes. Elysium operates as a venture studio. Our team is directly involved in originating, developing, and scaling many of the companies within the portfolio, often as founders, operators, or strategic partners.
Are there conflicts of interest in this structure?
Because Elysium operates as both investor and builder, the Manager and affiliated entities may have interests across multiple portfolio companies. This includes involvement in company formation, ownership, and capital allocation.
All such relationships are disclosed, and investors should understand that the Manager maintains broad discretion across the platform.
How is capital allocated across portfolio companies?
Capital allocation decisions are made by the Manager based on opportunity, performance, and strategic fit. This includes determining which companies receive initial or follow-on investment, as well as the timing and structure of those investments.
What am I ultimately investing in?
Investors are gaining exposure to a portfolio of companies developed and managed under Elysium’s platform. Performance is driven by the Manager’s ability to build, scale, and exit these businesses over time.
How are portfolio companies valued?
Valuations are determined by the Manager based on internal analysis, market conditions, and comparable opportunities. As with most early-stage investments, these valuations may not reflect public market pricing or third-party assessments.
Is Elysium a marketplace for third-party investment opportunities?
No. Elysium is not a broker or listing platform. The majority of portfolio companies are internally developed or affiliated with the Manager, and investment opportunities are offered within this controlled ecosystem.
Do transactions occur between affiliated Elysium entities?
Yes. Portfolio companies and affiliated entities may engage in transactions such as shared services, licensing, or strategic support. These relationships are disclosed and are designed to support operational efficiency and growth across the platform.
How is ownership structured?
The Manager maintains a majority ownership position in the platform through Elysium Capital Management. The Holdings Company owns strategic stakes across portfolio companies, while additional ownership is held through affiliated entities. Investors benefit from this combined exposure through a single investment.
